Terms of Service
These terms govern your use of Forge Epic. Please read them before you subscribe. If you are agreeing to them for a company, you confirm that you may bind that company.
01Who you are contracting with
Cholan Dynamics Private Limited is a private limited company incorporated in India, with GST registration 33AAJCC4140M1ZO. In these terms it is called "we", "us" or "Cholan Dynamics".
Forge Epic is a product line developed and operated by Cholan Dynamics Private Limited. "You" means the company or person that subscribes to it.
We serve customers in India, the United States, the United Kingdom, Germany, Canada and the United Arab Emirates (Dubai and Abu Dhabi).
02The agreement
Your agreement with us is made up of these terms, the policies linked from them, and any order, quotation or plan you accept. Where an order and these terms disagree, the order governs for the subject it covers.
You accept these terms when you create an account, place an order, or use the service.
03Your account
You are responsible for the accuracy of the details you give us, for the confidentiality of your credentials, and for what the users on your account do.
- Give us accurate billing and contact details, and keep them current.
- Do not share credentials between people. Add users instead.
- Tell us promptly if you believe an account has been used without authorisation.
04What you may do with the service
We grant you a non-exclusive, non-transferable right to use Forge Epic for your own internal business purposes for as long as your subscription is active, subject to these terms and to the Acceptable Use Policy.
You may not resell, sub-licence, or make the service available to anyone outside your organisation as a service of your own, unless we agree in writing.
05Your data, your designs
Everything you put into Forge Epic stays yours: your product data, your rules and standards, your drawings, your projects, your clients and your prices. We call it Customer Data.
- You keep all rights in Customer Data. We claim none.
- We process Customer Data only to provide and support the service to you, and as set out in our Privacy Policy and our Data Processing Addendum.
- We do not sell Customer Data, and we do not share it with anyone except the service providers listed in the Privacy Policy, who act on our instructions.
- You can export your data while your subscription is active, and for a period after it ends as described in the Privacy Policy.
06Engineering outputs must be checked
Forge Epic produces calculations, drawings, bills of materials and documents from the inputs, rules and standards that you supply or configure. Those outputs are a working product, not a professional certification.
Every output must be reviewed and approved by a qualified person in your organisation before it is issued, purchased against, or built from. You remain responsible for the correctness of your own rules, standards and inputs, and for compliance with the codes that apply to your work.
07Fees, billing and taxes
Fees are those set out in the plan or order you accept. Unless the order says otherwise:
- Subscription fees are billed in advance for the period you choose.
- Payment is taken online through our payment provider. We do not receive or store your full card details.
- Fees are exclusive of taxes. Indian customers are charged GST at the applicable rate. Customers outside India are responsible for any VAT, GST or sales tax due in their own country, including under reverse-charge rules where those apply.
- If a payment fails or is overdue we may suspend the service after telling you.
Cancellation and refunds are covered by the Refund and Cancellation Policy.
08Our intellectual property
Forge Epic, its software, its interfaces and everything we create in providing it remain the property of Cholan Dynamics Private Limited. Nothing in these terms transfers any of it to you.
If you send us suggestions, we may use them without obligation to you. This does not give us any right in your Customer Data.
09Confidentiality
Each of us may learn confidential information about the other. Each of us will protect it with reasonable care, use it only for this agreement, and disclose it only to people who need it and are bound to keep it confidential. This does not apply to information that is public, already known, independently developed, or required to be disclosed by law.
10Availability and support
We aim to keep the service available and to support it during our business hours. We may carry out maintenance, and will give reasonable notice where we can.
If your plan includes a specific availability commitment, it will be stated in your order.
11Warranties, and what we are not liable for
We warrant that we will provide the service with reasonable skill and care. Beyond that, and to the extent the law allows, the service is provided as it is, without other warranties.
Neither of us is liable to the other for indirect or consequential loss, loss of profit, loss of business, or loss of data that could have been avoided by keeping your own copies.
Our total liability under this agreement is limited to the fees you paid us in the twelve months before the event giving rise to the claim.
Nothing here limits liability that cannot be limited by law, including for fraud or for death or personal injury caused by negligence.
12Suspension and termination
- You may cancel your subscription at any time; see the Refund and Cancellation Policy.
- We may suspend the service if it is being used in breach of the Acceptable Use Policy, if a payment is overdue, or if a suspension is needed to protect the service or other customers. We will tell you and, where we can, give you a chance to put it right.
- Either of us may end the agreement if the other is in material breach and has not fixed it within thirty days of being asked in writing.
When the agreement ends, your right to use the service ends. You can export your data before it ends, and for the period described in the Privacy Policy afterwards.
13Changes
We may change the service as it develops, and we may change these terms. If a change is material we will tell you in advance by email or in the application. If you do not accept a material change, you may cancel before it takes effect.
14Governing law and disputes
This agreement is governed by the laws of India, and the courts at Erode, Tamil Nadu have jurisdiction over any dispute arising from it.
If you deal with us as a consumer in a country whose law gives you rights that cannot be contracted away, those rights are unaffected by this clause.
